Terms of service

These terms are a binding agreement between you and Henry PL, LLC, a Delaware limited liability company ("Mite", "we", "us", or "our"), covering your use of the Mite website, application, SDK, and API (together, the "Service").

By creating an account or using the Service, you agree to these terms. If you are agreeing on behalf of a company or other organization, you confirm that you have the authority to bind it, and "you" refers to that organization.

Who can use Mite

You must be at least 16 years old and capable of forming a binding contract. If you are barred from using services like this under the laws of your country or the United States, you may not use the Service.

Your account

You are responsible for everything that happens under your account, for keeping your login credentials secure, and for the accuracy of the information you give us. Authentication is handled by Clerk, and their terms apply to the authentication layer. Tell us promptly at hello@usemite.com if you suspect unauthorized access.

API keys issued to your applications are secrets. Treat them as such: do not commit them to public repositories or ship them where they can be extracted and abused. You are responsible for activity carried out with your keys, and you can revoke and reissue them at any time from your application settings.

Plans and billing

Mite offers a free plan and paid plans. Paid plans are billed in advance on a recurring basis through Clerk Billing, with payments processed by Stripe. By subscribing you authorize us to charge your payment method on each renewal until you cancel.

Plans carry usage limits, which are described on our pricing page. We may enforce those limits by restricting access to features once a limit is reached.

You can cancel at any time from your subscription settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid are non-refundable except where required by law. We may change our prices with at least 30 days' notice; changes take effect at your next renewal, and your continued use after that constitutes acceptance.

Fees are exclusive of taxes, and you are responsible for any taxes other than those based on our net income.

Acceptable use

You agree not to:

  • Use the Service to break the law or infringe anyone's rights
  • Upload malware, or attempt to probe, scan, or breach our security or authentication
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except where that restriction is prohibited by law
  • Resell or white-label the Service as your own competing bug reporting product
  • Use automated means to place unreasonable load on our infrastructure, or circumvent rate limits and plan limits
  • Submit personal information you have no lawful basis to share with us
  • Use the Service to store special categories of sensitive data, including health records, government identification numbers, or full payment card details

We may suspend or terminate accounts that violate these rules. Where practical we will warn you first, but we may act immediately where there is risk to the Service or to other customers.

Your content

You keep ownership of everything you and your users put into Mite: bug reports, attachments, release notes, feature requests, and account information ("Your Content"). We claim no ownership over it.

You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Your Content solely to operate and improve the Service for you, and to provide support. This license ends when you delete the content or close your account, apart from residual copies in backups that are purged on a rolling schedule.

We do not use Your Content to train machine learning models.

Your responsibilities for end user data

The Mite SDK collects data from the people who use your app. As between you and us, you are the controller of that data and we are your processor. You are responsible for:

  • Having a lawful basis to collect the data your app sends us
  • Maintaining your own privacy policy that discloses your use of Mite
  • Obtaining any consent required in your jurisdiction
  • Configuring your integration so that it does not capture data you are not entitled to collect, including via screenshots
  • Responding to your users' access and deletion requests

We process end user data on your instructions, as described in our Privacy Policy. If you need a signed data processing agreement, contact us.

Service availability

We aim to keep Mite available and reliable, but we do not offer a formal uptime guarantee on any plan. We may modify, suspend, or discontinue features, and we will give reasonable notice of material changes that reduce core functionality. Scheduled maintenance may cause brief interruptions.

Third-party services

Mite integrates with services we do not control, including GitHub, Linear, and any webhook endpoint you configure. Your use of those integrations is governed by their terms, and we are not responsible for their acts, omissions, availability, or handling of data once it leaves our systems at your instruction.

Our intellectual property

The Service, including its software, design, and trademarks, belongs to Mite and its licensors. These terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in line with this agreement, and nothing more.

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these terms, if your account is used unlawfully, or if we are required to by law.

When your account ends, your right to use the Service stops immediately and we will delete your data as described in our Privacy Policy. Export anything you want to keep beforehand. Sections that by their nature should survive termination will survive it, including ownership, disclaimers, limitation of liability, indemnification, and governing law.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that data will never be lost. Mite is a bug reporting tool, not a backup service or a system of record. Keep your own copies of anything you cannot afford to lose.

Limitation of liability

To the maximum extent permitted by law, Mite will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if we have been advised of the possibility of those damages.

Our total aggregate liability arising out of or relating to these terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing here limits liability for fraud, willful misconduct, or anything else that cannot be limited by law.

Indemnification

You agree to indemnify and hold harmless Mite and its officers, members, and employees from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your use of the Service, Your Content, your violation of these terms, or your violation of any law or third-party right, including the rights of your end users.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You and Mite agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not resolved informally.

Before filing anything, please email hello@usemite.com and give us 30 days to try to resolve the matter with you directly. Most problems are faster to fix than to litigate.

Changes to these terms

We may update these terms as the Service evolves. If a change is material, we will update the date at the top of this page and notify account holders by email or in the app before it takes effect. Continuing to use Mite after that means you accept the new terms. If you do not accept them, stop using the Service and cancel your account.

General

These terms, together with our Privacy Policy, are the entire agreement between you and Mite regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it in connection with a merger, acquisition, or sale of assets.
